A seller and buyer will be required to provide Lincolnway Energy with a properly completed and executed unit assignment application, which will be subject to approval by the directors of Lincolnway Energy. The seller will also be required to provide Lincolnway Energy with the certificate or certificates for the units being sold, properly endorsed for transfer. The unit assignment application and the certificates for units should be forwarded to Lincolnway Energy at 59511 West Lincolnway Highway, Nevada, Iowa 50201. Pursuant to Lincolnway Energy’s Internal Revenue Code Section 444 election, only 5% of Lincolnway Energy’s units can be owned by pass-thru entities (For example, S-Corps, Partnerships, or LLCs). Lincolnway Energy is currently at the 5% maximum, so there is a freeze on transfers to pass thru entities.
